If you decide to sell your company "right now," you are selling it in its current state, along with all its risks. But if you take your time and start preparing 2–3 years in advance, you aren't just selling the past—you are primarily selling the future and certainty. And that is what investors pay the most for.

What should you focus on to increase your company's value? The true value of a company does not lie solely in turnover spreadsheets. An investor is looking for a system that will function even without you.

  • Owner Substitutability: If all key decisions and partner relationships rely on you, the company is a risk for the buyer. The goal is to create a structure where management operates autonomously.

  • Legal and Tax Cleanliness: Old "gentlemen's agreements" or unclear asset ownership are red flags during due diligence. Organized documentation directly reduces risk and increases the price.

  • Separation of Personal and Business Assets: Cars, real estate, or investments unrelated to operations should be removed from the company before sale negotiations begin.

Don’t address the sale in isolation As we often emphasize, law, taxes, and assets are interconnected. An inefficient tax structure during a sale can cost the owner millions that could have been legally saved if the transaction had been planned in the context of their other personal and family goals.

How do you know if your company is ready? Imagine that tomorrow you left for a six-month vacation without a phone. If the company worked just as well (or better) without you, you are holding an asset with high market value. If not, it is time to start working on its structure.
